How to incorporate/form a limited company in Hong Kong?

If you want to form/incorporate a limited company, you need to first determine which types of limited company you want to form.
  1. By share capital
  2. By guarantee
As the most common type is limited by the share capital, we would only provide details on this type only. If you need the information on the other types, you are welcome to contact us. Our company provides the services on the following procedures.

Procedures:

  1. You need to decide the name of the company and it must with the word of 'Limited' at the end of your selected company name. The name cannot be the same with any other limited companies in Hong Kong and some restricted word cannot be used such as 'Royal' and 'MTR'. You can go to Hong Kong Companies Registry to check it.
  2. Determine the authorized capital of your company (Capital fee $1 for every or part of $1,000 of share capital which subject to maximum amount of HK$30,000). Usually, the the authorized capital is HK$10,000.
  3. Determine the amount of subscriber shares (The first share capital issued). The minimum shares issued is one share of HK$1.00 to one person for private company.
  4. Determine the first secretary which is for declaration.
  5. Prepare a printed copy of Memorandum and Articles of Association (the 'M&A') with the information 1, 2, 3 and 4.
  6. Ask the subscribers and witness to sign at the appropriate spaces in the M&A.
  7. Filing the Form NC1A and M&A with the prescribed filing fee.
  8. Waiting for about 7 working day, you will receive notice by phone or fax to inform you to bring the certificate of incorporation if all documents.

Then a limited company is born by you.

After that, you need to do the following things:
  1. To make the common seal, rubber stamp (or pre-inked stamp), statutory books, share certificate book, printed M&A.
  2. Appoint one director (at least) and one secretary (at least) for private company.  If only one director is appointed, the secretary cannot be the same person as that sole director.  Our company provides service to act as secretary to prevent miss of filing documents required to avoid additional surcharges.
  3. To apply the business registration certificate.
  4. To file the statutory forms such as D1, D3, R1, etc.
  5. Open a bank account if you need.
  6. To appoint an auditor. Our company could introduce to you without with any additional charge.
